On Sunday, June 30, Boeing announced it has entered into a definitive agreement to acquire Spirit AeroSystems, one of its major suppliers.
The total transaction value is approximately $8.3 billion, including Spirit’s last reported net debt.
The merger is an all-stock transaction at an equity value of approximately $4.7 billion, or $37.25 per share.
Spirit is Boeing’s fuselage supplier, and supplies multiple other companies. Its European counterpart is in the process of being acquired by Airbus. Spirit’s U.S. operations are headquartered in Wichita, Kansas, and were once intertwined with Boeing. Boeing sold its Wichita division in 2005, a company history says, which led to Spirit AeroSystems. Its historical chronology includes being the Kansas factory of the B-29 Superfortress bomber and subsequent B-47 and B-52 long-range bombers of the Cold War.
